Terms of Service & Master Service Agreement

These Terms of Service constitute a legally binding Master Service Agreement (MSA) between Customer ("Customer," "Organization," "Government Entity," or "User") and Ilonnati Innovations Private Limited ("Ilonnati," "Company," "we," or "us"), governing access to the Water IOT Enterprise Infrastructure Platform, smart water IoT hardware, gateways, edge APIs, telemetry analytics, and web dashboards.

This Agreement incorporates the following sub-documents by reference:

• Order Schedules: Commercial order forms specifying tier levels, device seat counts, and subscription fees.
• Service Level Agreement (SLA): Uptime guarantees (99.99% SCADA / 99.9% Enterprise), support response times, and service credit remedies.
• Data Processing Addendum (DPA): Statutory data protection terms compliant with DPDP Act 2023 and GDPR.

Subject to payment of applicable subscription fees, Ilonnati grants Customer a non-exclusive, non-transferable, revocable license to access Water IOT during the subscription term:

• Enterprise B2B License: For commercial complexes, industrial plants, REITs, and private water utilities.
• Citizen B2C License: For residential housing societies, apartment owners, and individual meter end-users.
• Municipal B2G Procurement Addendum: For Municipal Corporations, Smart City Authorities, Urban Local Bodies (ULBs), and Jal Jeevan Mission projects.

Water IOT enables authorized operators to remotely command solenoid valves, motorized actuators, and pump controls. Due to physical hydraulic pressure dynamics, the following operational rules govern actuation:

• Multi-Factor Authorization: Valve actuation commands require elevated Operator or System Admin credentials protected by Multi-Factor Authentication (MFA).
• Hydraulic Hammer Risk Allocation: User personnel initiating manual valve closures must follow system-recommended closing speed curves to avoid water hammer shocks. Ilonnati is not liable for pipe bursts resulting from improper manual sequences initiated by user personnel.
• Emergency Municipal Override: Municipal authorities (B2G) reserve emergency override authority to close main distribution valves during public health contamination events or major pipe ruptures.
• Cryptographic Audit Trails: Every valve command is logged with non-repudiable cryptographic signatures including user ID, IP address, timestamp, and target valve DevEUI.

We commit to high availability for cloud telemetry ingestion and SCADA monitoring operations:

Ilonnati warrants that Water IOT employs military-grade security safeguards:

• Cryptographic Protection: AES-256-GCM disk encryption, FIPS 140-2/140-3 Hardware Security Modules (HSM), and TLS 1.3/mTLS transit security.
• CERT-In Incident Reporting: Mandatory notification to CERT-In and affected government clients within statutory incident windows.
• Independent Penetration Audits: Annual third-party penetration testing and vulnerability assessments by CERT-In empaneled auditors.

Customer Data Ownership: Customer retains 100% sole ownership of all raw meter consumption telemetry, distribution mapping coordinates, and organization master data.

Platform Intellectual Property: Ilonnati retains all title, patents, trade secrets, software designs, UI components, sensor decoders, and trademarks associated with Water IOT.

District Metered Area (DMA) flow profiles, municipal hydraulic loss calculations, and water network topologies are classified as Confidential Data. Ilonnati agrees to protect Customer Confidential Information with the same degree of care used for its own sensitive assets, and not to disclose such data to third parties.

Aggregate Liability Cap: Except for uncapped liabilities defined below, each party's aggregate liability arising under this Agreement is capped at the total subscription fees paid by Customer during the 12 months preceding the incident.

Uncapped Carve-Outs: Neither party's liability is capped for: (a) breach of confidentiality obligations; (b) gross negligence or willful misconduct; or (c) third-party IP infringement indemnification claims.

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the Republic of India.

The Water IOT software platform, real-time edge telemetry pipelines, SCADA monitoring engine, cloud backend, and responsive web dashboards are Architected, Engineered & Maintained by Sripto Corporation Private Limited under enterprise technology engineering mandates with Ilonnati Innovations Private Limited.
